Terms and Conditions

1. Definitions
In these terms and conditions, the following definitions apply:
- Provider: KARB bv, registered with the Crossroads Bank for Enterprises under number BE0839.593.297, located in Antwerp, Belgium.
- Service: the Places API address autocomplete service offered via places-api.com.
- User: the natural or legal person who enters into an agreement with the Provider for the use of the Service.
- Agreement: the agreement between the Provider and the User for the use of the Service.
- API Key: the unique key that provides access to the Service.
- Contract Period: the period for which the Agreement is entered into, being one month or one year.
2. Applicability
These terms and conditions apply to all use of the Service and to every Agreement between the Provider and the User.
By entering into an Agreement, the User accepts these terms and conditions.
The Provider may unilaterally modify these terms and conditions. Changes will be announced at least 30 days in advance by email. If the User does not agree with the changes, the User may terminate the Agreement before the end of the current Contract Period.
3. The Service
The Provider offers an API for address autocomplete functionality for Dutch, Belgian and Luxembourgish addresses. The address data comes from official sources (Kadaster BAG for the Netherlands, BeSt Address Register for Belgium and Registre National des Localités et des Rues for Luxembourg).
The Provider may modify the offer of service types and rates. Such changes will be announced at least 30 days in advance.
4. Contract Duration and Termination
The Agreement is entered into for a Contract Period of one month or one year, depending on the User's choice.
The Agreement is tacitly renewed for the same period after the Contract Period expires, unless the User terminates the Agreement via the dashboard or by email.
Termination must be made before the end of the current Contract Period. After termination, the Service remains available until the end of the paid period.
The Provider may terminate the Agreement with immediate effect if:
- the User acts in violation of these terms and conditions;
- the User fails to make payment;
- the User is declared bankrupt or applies for suspension of payments.
5. Pricing and Payment
The rates for the Service are listed on the website. All amounts exclude VAT unless otherwise stated.
Payment is made in advance at the start of each Contract Period via direct debit or online payment.
In case of late payment, the Provider may suspend access to the Service until payment is made. The Provider will not charge additional fees in such case, but reserves the right to claim statutory commercial interest.
6. Use of the Service
The User commits to:
- use the Service only for legitimate purposes;
- keep the API key confidential and not share it with unauthorized third parties;
- respect the rate limits and fair use policy as stated in the documentation;
- not abuse the Service.
The User may share the API key with developers working on behalf of the User but remains fully responsible for its use.
In case of (suspected) abuse or exceeding agreed limits, the Provider may temporarily or permanently block access to the Service.
7. Availability and Maintenance
The Provider strives for high availability of the Service but cannot guarantee 100% uptime.
Scheduled maintenance is announced at least 48 hours in advance by email or via the status page. The Provider will schedule maintenance outside business hours as much as possible.
The address data is periodically updated based on updates from the official sources. The Provider is not liable for any delays in these updates.
8. Liability
The Service is offered "as is". The Provider does not guarantee that the address data is complete, accurate or up to date.
The Provider's liability is limited to the amount the User has paid to the Provider for the Service in the past 12 months.
The Provider is not liable for indirect damages, including lost profits, missed savings, business interruption or damage due to loss of data.
The liability limitations do not apply if the damage is the result of intent or gross negligence on the part of the Provider.
9. Intellectual Property
The Service, the software and all related documentation remain the property of the Provider. The User only obtains a limited, non-exclusive and non-transferable right of use for the duration of the Agreement.
The address data comes from official government sources and is offered under the terms of these sources.
10. Data Processing
When providing the Service, the Provider processes data on behalf of the User. In this context, the following applies:
- The User is the data controller; the Provider is a processor within the meaning of GDPR.
- The processing concerns only the data necessary for providing the Service: postal codes, house numbers, and technical data such as IP addresses for logging.
- For invoicing purposes, the Provider also processes: contact name, company name, invoice address, VAT number, and any PO reference. This data is used exclusively for issuing invoices and complying with legal VAT obligations.
- The Provider processes this data only in accordance with the User's instructions and this Agreement.
- The Provider takes appropriate technical and organizational measures to protect the data.
The Provider uses the following sub-processors:
- Hetzner Online GmbH (Germany) - hosting, infrastructure, and email delivery
- Mollie B.V. (Netherlands) - payment processing
- Moneybird B.V. (Netherlands) - invoicing
In case of a data breach involving the User's data, the Provider will inform the User as soon as possible.

11. Confidentiality
Both parties commit to confidentiality of all confidential information received from each other in the context of the Agreement. This obligation remains in force even after termination of the Agreement.
This obligation does not apply to information that is already public, has been provided by a third party without confidentiality obligation, or must be made public pursuant to laws or regulations.
12. Applicable Law
Belgian law applies to these terms and conditions and the Agreement.
Disputes arising from or related to these terms and conditions or the Agreement will be submitted to the competent Belgian court.
